Article 1 Agreement to the Terms
- The User shall use the Service in accordance with the provisions of this Agreement, the Privacy Policy, and laws and regulations.
- By actually using the Service, the User is deemed to have agreed to these Terms.
Article 2 Definitions
The definitions of the terms used in these Terms are as follows:- “These Terms” means the Terms of Use for the Services.
- “The Service” means all services related to VoicePing provided by the Company.
- “User” means an individual, corporation, or other entity that agrees to these Terms and uses the Service, and is the subject of a contract with the Company regarding the Service, or an individual who actually uses the Service.
- “Workspace” a digital space for users to access the Service.
- “Administrator” is the person who manages the workspace among the users, and has the authority to invite, register, and cancel guests.
- “Guest” A user who uses the workspace.
- “Operator” means any individual who actually uses the Service, including Administrators and Guests.
- “Privacy Policy” means the privacy policy for the Service.
- “Contracting Customer” means an individual, corporation, or other organization that enters into a service agreement with the Company and is obligated to pay the fees under that agreement. Merely being an Operator or Guest does not create payment obligations as a Contracting Customer.
- “Business Customer” means a corporation or other organization, or an individual entering into the agreement in the course of or for the purposes of business.
- “Consumer Customer” means a Contracting Customer who is an individual qualifying as a consumer under Article 2(1) of Japan’s Consumer Contract Act. Classification depends on the purpose and substance of the agreement, rather than solely on a label or registration field.
Article 3 Use of the Service
Users can use the Service by agreeing to abide by the Terms of Service and applying or registering for the Service in the manner prescribed by the Company. After the application or registration, the Company may, at its discretion, examine the eligibility for use of the Service, and may not approve the application, or may cancel the application retroactively, or may not grant the eligibility for use (hereinafter referred to as “Suspension of Eligibility”).Article 4 Notification
- When the Company notifies users of the Service, it will do so by posting on the Service, sending e-mails to users, sending mail, or by any other method the Company deems appropriate.
- Even in the event that an e-mail addressed to a user registered with this service results in an error, the Company shall be deemed to have given notice. The Company shall not be held responsible for any damage caused by this.
Article 5 This Service
- The Service provided by the Company to the User is a voice and video communication service, the details of which are provided on the Company’s website (https://voiceping.net/) and in the functional explanation materials.
- Regardless of the information on the screen of the Service, intellectual property rights and other rights related to the Service are not transferred to the User, and only non-exclusive rights of use are granted to the User.
- Restrictions based on a breach of law or these Terms, unauthorized access, or another security risk are governed by Article 22(3) through (7). This does not prevent measures required by law.
Article 6 Registration Information
- The User shall provide true, accurate, and complete information when it is necessary to register information, such as when using the Service.
- If there is any change in the registered information, the user shall promptly complete the change procedure on the service. The Company shall not be held responsible for any damage caused by failure to change the registered information.
Article 7 Handling of Data
- The Company will use and provide all information obtained from users with the care of a good manager in accordance with the Privacy Policy, and will endeavor to handle the information safely. For details, please refer to the Privacy Policy.
- The User shall be responsible for keeping backups of the User’s data. The Company shall not be held responsible for the restoration of lost information, compensation for damages, or any other damages incurred by the User due to the User’s failure to back up their data.
Article 8 ID and Password
- The User shall endeavor to prevent unauthorized use, and shall set and manage his/her ID and password at his/her own risk, and the Company shall bear no responsibility whatsoever.
- The User shall not, under any circumstances, allow a third party to use the Account, or transfer or lend the Account to a third party.
- Where authentication failures or other objective circumstances reasonably indicate unauthorized account use or a concrete risk of such use, the Company may restrict credentials or accounts in accordance with Article 22(3) through (7).
Article 9 Maintenance of the Usage Environment
- Users shall, at their own responsibility and expense, properly arrange the equipment, software, and communication means necessary to use the Service.
- The User shall take security measures such as prevention of virus infection, unauthorized access, and prevention of information leaks according to the User’s usage environment.
- The Company shall not be involved in, and shall not be responsible for, the User’s usage environment.
Article 10 Integrated Services
The User, in relation to the utilization of this Service, shall, when making use of the following third-party services that are integrated with this Service (hereinafter referred to as “Integrated Services”), comply not only with this Agreement but also the respective Terms of Service and any other contractual provisions stipulated by the providers of these Integrated Services.Article 11 Privacy
The Company shall properly handle the User’s privacy information and personal information in accordance with the “Privacy Policy”.Article 12 Fees
- The fees for this service will be determined separately by the Company in accordance with the categories listed on the Company’s website (https://voiceping.net/). In the event of a change, the relevant fees will be applied from the following month.
- The method of payment of the Service fee shall be separately determined by the Company.
- The contract period and renewal interval follow the fee and renewal conditions disclosed at application and incorporated into the agreement, or a separately agreed contract. Unless otherwise agreed, the initial period is one month and renews automatically in one-month increments unless renewal is stopped by the end of the contract period using the Company’s prescribed written or electronic procedure.
- Even if you start using the service in the middle of the month, you must pay the full amount of the fixed monthly fee for the current month.
- Contractual fees accrue during the contract period regardless of use, subject to Article 13, other applicable refund and settlement conditions, and applicable law. Cancellation and withdrawal of a scheduled cancellation follow the procedures and eligibility conditions provided by the Company. Where restoration of the current paid plan is available before the paid period ends, that procedure may be used to withdraw its scheduled cancellation.
- If the Company cannot provide the Service for reasons attributable to the Company, fees will be reduced or refunded according to the nature and duration of the inability to provide the Service, applicable law, and valid contractual terms. Billing corrections and refunds for payment or cancellation failures caused by the Company’s system failures or bugs are governed by Article 13(7).
Article 13 Cancellation of the Service
- Ordinary cancellation, stopping automatic renewal, and changing to the Free plan for a plan ordered and paid for within the app must be completed by the Contracting Customer or an authorized Administrator through the prescribed controls in VoicePing’s Billing screen. The Company does not accept or perform these ordinary changes or cancellations by email, including replies to billing or notification emails. See the instructions. A separately agreed procedure in an individual contract takes precedence. If the prescribed procedure is unavailable because of the Company’s system failure or bug, paragraph 7 applies. Notices exercising statutory termination, rescission, or similar rights are not limited to the method in this paragraph. The end date and settlement conditions for ordinary cancellation follow the fee and cancellation conditions disclosed at application and incorporated into the agreement. As a general rule, fees already paid are not refunded for cancellation, withdrawal of an application, or non-use for the Contracting Customer’s convenience. The other provisions of this Article and applicable law take precedence.
- If the Company lawfully terminates an agreement under Article 22(4) for a material breach of Article 22(1) attributable to the Contracting Customer, fees already paid by a Business Customer for the monthly fee period containing the termination date are not refunded. Each monthly period runs from the contractual billing start date in one-month increments. If the agreement lasts less than one month, that entire agreement period applies. Where fees have been prepaid for more than one month, the relevant month’s amount is calculated from the contractual fee allocation or, if none exists, proportionately to the prepaid period. Prepayments for later periods in which services have not been provided will be returned after lawful settlement under paragraph 4.
- The Business Customer nonrefund rule in the preceding paragraph does not apply to Consumer Customers. Only amounts chargeable under applicable law and a valid contractual basis may be deducted from prepayments for services not provided; the remaining balance will be returned. All agreed damages and penalties associated with cancellation, including amounts retained or deducted, are aggregated, and any portion exceeding the average loss under Article 9 of the Consumer Contract Act does not apply. On request, the Company will endeavor to explain the outline of the calculation basis.
- This Article does not prevent the Company from claiming compensation under applicable law for damage actually suffered. Setoff against refunds or other settlement is permitted only where legal requirements are met, without recovering twice for the same loss. This Article does not automatically make all future fees due.
- An automated alert, suspicion of a breach, or temporary access restriction alone does not justify retaining prepayments for services not provided. Inability to provide the Service, erroneous restrictions, or other circumstances attributable to the Company are subject to refunds or other settlement under Article 12(6) and applicable law.
- This Article does not restrict rights to terminate, receive refunds, claim damages, or exercise other rights under mandatory law, whether held by Consumer Customers or other Contracting Customers.
- If a system failure or bug attributable to the Company causes a failed payment, duplicate or excessive billing, or failure of the cancellation procedure, the Company will investigate and cancel or correct the charge, or refund fees that should not have been payable. If the cancellation screen is unavailable, please contact support. The Company will establish when cancellation or stopping renewal should have taken effect from the time of the report and objective records, and settle additional fees caused by the failure. Refunds arising from reasons attributable to the Company or required by law are not subject to the payment processing or handling fees in the next paragraph. If payment was not completed and no funds were received, the Company will check whether any charge exists and make necessary corrections.
- Even where the Company has no obligation to refund, it may exceptionally agree to a refund for the Contracting Customer’s convenience. Only in that case, subject to law and applicable payment service rules, the Company will deduct from the refund the Stripe payment processing fees corresponding to the refunded amount that the Company actually incurred and that Stripe does not return, plus a handling fee of JPY 2,000 including tax. For partial refunds, only the corresponding portion of processing fees may be deducted, without duplicate deductions. Deductions will be made only after the breakdown, basis, and net refund have been presented in advance and agreed to by the Contracting Customer. Amounts for which a legally required calculation basis cannot be established will not be deducted. Total deductions will not exceed the amount being refunded, and no shortfall will be charged separately. For Consumer Customers, any deduction contrary to the Consumer Contract Act or other applicable law, including the limits in paragraph 3, will not be made. This paragraph does not make cancellation or refunds available under law or these Terms conditional on agreement to these fees.
Article 13-2 Workspace and User Account Deletion
- Contracting Customers, Administrators, and Users must carry out ordinary workspace and user-account deletion through the app’s prescribed deletion functions, within their respective permissions. The Company does not perform ordinary deletion operations in response to email requests. If a system failure or bug in the Company’s deletion function is confirmed to prevent the prescribed operation, the Company will take necessary action after verifying identity and authority. Report suspected defects to support. The Company will investigate the report and objective records; it does not require every reporting user to prove the defect themselves.
- The preceding paragraph does not reject requests for erasure or suspension of use under the Personal Information Protection Act or other applicable law, or valid personal-data deletion requests under Articles 10 and 10-2 of the Privacy Policy. Those requests remain available through the policy’s contact point, regardless of whether a Company system failure or bug exists, and will be handled after identity verification and necessary investigation. Requests are distinguished from ordinary operation-assistance requests according to their substance. Check the plan’s contract and cancellation status when deleting data or accounts. Uninstalling the app or removing a payment card alone does not complete paid-plan cancellation.
Article 14 Termination by the Company
-
In the event that the User falls under any of the following items, the Company may, without prior notice to the User, suspend all or part of the Service and the affiliated services to the User, or cancel the contract with the User.

- Fees, refunds, and damages following termination under this Article are governed by Articles 13 and 23.
- Notwithstanding paragraphs 1 and 2, restrictions or termination for prohibited conduct, unauthorized access, or another security risk must meet the requirements and procedures in Article 22(3) through (7). Suspicion alone does not establish that a breach occurred or justify retaining fees.
Article 15 Change, Addition, and Abolition of the Service
In addition to the provisions of the preceding article, the Company may change, add, suspend, discontinue, or abolish the contents of the Service and affiliated services without prior notice to the User for any reason whatsoever. The Company shall not be liable for any damages resulting from such changes.Article 16 Changes to the Terms
- The Company may amend these Terms by agreement with Users or where amendment is permitted under Article 548-4 of Japan’s Civil Code or other applicable law.
- The Company will give notice of the amendment, its contents, and its effective date by posting on the Service’s website or another appropriate method. Where required by law, notice will be given before the effective date or individual consent will be obtained. Continued use alone will not be treated as consent where consent is legally required.
- Amended provisions will not be applied retroactively to conduct before they became applicable as a new basis for penalties or retaining fees. Existing rights and obligations remain governed by applicable law and the contract validly applicable at the relevant time.
Article 17 Handling at the time of contract termination
In the event that the contract between the User and the Company for the use of the Service is terminated, regardless of the cause of termination such as cancellation of the Service by the User, termination of the contract by the Company, or discontinuation of the Service, the User shall lose all rights and privileges related to the User’s account used by the Company. The Company shall not be held responsible for any damages incurred by the User as a result of this.Article 18 Intellectual Property Rights
The intellectual property rights related to this service belong to the Company and third parties who are legitimate right holders, and the rights are not transferred to the User through this Usage Agreement.Article 19 Prohibition of Transfer of Rights and Obligations
The User shall not transfer, succeed, pledge, or otherwise dispose of any rights or obligations under this Agreement to any third party without the prior consent of the Company.Article 20 Publication of Customer Names and Logos
Unless a corporate User submits a request using the Company’s prescribed method, the Company may publish that User’s name and logo on its website or in marketing materials as a customer of the Service.Article 21 Consignment
The Company may outsource part or all of the operations related to the Service to a third party.Article 22 Prohibited Acts
- Users must not engage in the following conduct when using the Service: (1) Infringing another person’s intellectual property rights, including copyrights or trademarks. (2) Infringing another person’s privacy. (3) Harming another person’s reputation or credit. (4) Criminal conduct or conduct leading to a crime. (5) Providing false information, including impersonating another person. (6) Interfering with operation of the Service or damaging its reputation. (7) Causing nuisance to the Company or a third party, including burdening servers or sending bulk messages to recipients who have not consented or are unlikely to consent. (8) Distributing harmful programs, including computer viruses, to servers managed for the Service. (9) Lending IDs or passwords to third parties or otherwise using them improperly. (10) Making false statements to the Company. (11) Creating multiple free accounts without the Company’s prior written or electronic approval. (12) Using the Service for third parties or for purposes other than one’s own use. (13) Other conduct that violates or may violate laws and regulations. (14) One User holding multiple accounts or multiple persons jointly holding one account, except as approved by the Company. (15) Without the Company’s prior written or electronic consent, reverse engineering, decompiling, disassembling, extracting models, or using similar analysis to obtain, extract, or reconstruct nonpublic internal structures, processing methods, source code, model weights, system prompts, credentials, or other nonpublic information of the Service, or attempting to do so, whether manually or through AI tools, agents, scripts, or other means. (16) Bypassing or attempting to bypass authentication, access permissions, billing, usage or rate limits, or other safeguards; accessing data or functions without authorization, or attempting to obtain them. (17) Large-scale or repeated access or data collection beyond the permitted scope that harms security or availability, or systematic collection of outputs to extract or reconstruct nonpublic functions or models of the Service. (18) Using another account, credentials, connection source, or third party to evade lawful restrictions under this Article, or instructing or engaging a third party to perform prohibited conduct. (19) Other conduct causing comparable harm to the security of the Service or the rights and interests of the Company or third parties.
- Items (15) through (18) do not prevent use of APIs, MCP, or similar integrations under specifications and conditions published or individually approved by the Company; ordinary viewing, export, or analysis of data the User is authorized to access; security testing within a scope approved by the Company; or conduct that applicable law does not permit a contract to restrict. Use of AI tools, a VPN, or a shared network alone is not treated as prohibited conduct.
- Where access records or other objective circumstances reasonably indicate a breach of paragraph 1 or a concrete security risk, the Company may, to a necessary and proportionate extent, block connections from IP addresses, limit request rates, revoke API keys or other credentials, or suspend accounts or functions temporarily. Urgent protective measures may be taken without prior notice. The Company does not permit use of the Service from IP addresses reasonably identified from access records or other objective circumstances as having been used for unauthorized access or an attempt at unauthorized access, and will block connections from those addresses. This prohibition and blocking apply only for the scope and duration necessary and proportionate to protect security, until lifted or modified under paragraph 5.
- The Company may terminate all or the necessary part of an agreement where a breach is material and makes continuation impracticable, or where the breach remains unremedied after a reasonable cure period. Depending on the breach and a concrete risk of recurrence, re-registration or renewed access may be restricted to a necessary and proportionate extent.
- The Company will periodically review the scope and continuing necessity of restrictions, considering effects on users of shared IP addresses and persons to whom an IP address has been reassigned. Sharing an IP address alone does not establish a particular Contracting Customer’s breach or responsibility. Restrictions will promptly be lifted or corrected where an error is confirmed or the restriction is no longer necessary.
- The Company will notify the affected User or Contracting Customer as promptly as possible of the measure, a summary of its reason, and how to contact the Company. Notice may be delayed or explanations limited to the extent necessary where disclosure would harm security, an investigation, or third-party rights, or where restricted by law. Appeals are accepted through the Company’s support contact and will be reconsidered within a reasonable period without relying solely on automated detection.
- Fee settlement following measures under this Article is governed by Article 13. This Article does not exclude refunds or damages available under law for erroneous measures attributable to the Company.
- Restrictions on eligibility or use, or termination for prohibited conduct, unauthorized access, or other security risks, are subject to paragraphs 3 through 7 and Article 13, regardless of the label of the measure or the provision of these Terms relied upon.
Article 23 Disclaimer
- A User who causes loss to the Company through a breach of law or these Terms attributable to that User is liable under applicable law for loss having an adequate causal connection to that breach. Attorney fees and other response costs are recoverable only to the extent permitted by law. Merely being an Operator or Guest does not create liability for another person’s conduct.
- The Company shall not be held responsible for any damages incurred by the User due to changes, suspension, cessation, or malfunction of the Service or services affiliated with the Service.
-
The User agrees in advance that the use of the Service or the Service’s affiliated services may be suspended for a certain period of time due to the following circumstances, and the User shall not claim compensation from the Company for damages caused by the suspension of the Service or the Service’s affiliated services.

- The Company shall not be held responsible for, and shall not compensate for, any damage caused to users, trouble between users, or other matters in the services provided by the Company or the services affiliated with the Company.
- In the event that the Company should be held liable to the User or a third party due to reasons such as the exemption clause set forth in this Agreement not being applied, the amount of compensation for damages based on such liability, regardless of the number of cases, shall be limited to the amount of fees paid by the User to the Company in using the Service, unless the Company is intentionally or grossly negligent.
- Notwithstanding any other provision of these Terms, the Company’s liability for damage caused intentionally or through gross negligence is not excluded or limited. For consumer contracts, provisions entirely excluding the Company’s liability for damages arising from nonperformance or tort do not apply; any limit on damages for the Company’s ordinary negligence follows paragraph 6 only to the extent legally valid. Duties to settle fees, provide refunds, or reconsider measures under Articles 13 and 22 are not excluded by this Article or any other disclaimer.
Article 24 Exclusion of Anti-Social Forces such as Organized Crime Groups
- Both our company and the User declare and assure that they are not members of, nor affiliated with, any organized crime groups, organized crime members, companies related to organized crime, professional agitators, aggressive activists in social or political movements, specialized intelligent violence groups, or any other antisocial forces (hereinafter referred to as “Antisocial Forces”), and that they do not engage with any Antisocial Forces, now or in the future.
- If our company determines that a User belongs to or is affiliated with Antisocial Forces or is engaged with them, we may suspend the User’s use of the Service or terminate their contract without prior notice. Similarly, the User may immediately terminate the contract for the use of this Service if they determine that our company belongs to or is affiliated with Antisocial Forces or is engaged with them.
